Terms of Service

1. Acceptance of Terms

By creating an account or using Family Vault (a product of Perpetual21, “we”, “us”, “our”), you (“User”) agree to be bound by these Terms of Service in their entirety. If you do not agree with any part of these terms, you must not use the service. Your continued use of Family Vault constitutes ongoing acceptance of these terms.

2. Nature of the Service

Family Vault is a private, encrypted organizational tool that allows users to document the location of their assets and leave instructions for their family. It is expressly not any of the following:

  • A financial advisor, investment platform, or brokerage service
  • A legal service or substitute for a will, trust, or estate plan
  • A password manager or secrets vault
  • A cryptocurrency wallet or custodian
  • An insurance product or guarantor of asset recovery

Nothing in the service or any communication from Perpetual21 constitutes financial, legal, tax, or investment advice. You should consult qualified professionals for such matters.

3. Eligibility

You must be at least 18 years of age to use this service. By using Family Vault, you represent and warrant that you meet this requirement and that all information you provide is accurate and truthful.

4. User Responsibilities

  • You are solely responsible for maintaining the confidentiality of your login credentials. Any activity occurring under your account is your responsibility.
  • You must never store seed phrases, private keys, wallet passwords, or exchange credentials in your vault. The service is designed exclusively for descriptions and physical locations. Violation of this rule exposes you to unnecessary risk and constitutes a breach of these terms.
  • You are responsible for the accuracy, completeness, and legality of all content you enter into your vault.
  • You are responsible for all persons you grant access to your vault, including trusted persons and sealed contacts. Perpetual21 is not liable for any actions taken by individuals you have authorized.
  • You may not use Family Vault for any unlawful purpose, including but not limited to fraud, money laundering, or tax evasion.

5. Subscription and Billing

  • Family Vault offers a 14-day free trial with no credit card required. Trial accounts have full access to all features.
  • After the trial period, continued access requires a paid subscription at the rates published on our billing page ($9/month or $79/year, subject to change with notice).
  • Subscriptions renew automatically at the end of each billing period. You may cancel at any time from your billing settings page; cancellation takes effect at the end of the current period.
  • All fees are non-refundable except where required by law. If you believe a charge was made in error, contact hello@perpetual21.com within 7 days of the charge.
  • We reserve the right to modify pricing with at least 30 days' notice to existing subscribers.

6. Service Availability

We aim for high availability but provide the service “as is” and “as available” without any warranty of uninterrupted or error-free service. We may perform maintenance, apply updates, or modify features at any time. Perpetual21 is not liable for any loss, damage, or inconvenience resulting from service downtime, data loss, or changes to the service.

7. No Warranty

To the maximum extent permitted by applicable law, Family Vault and all related services are provided “as is” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement.

Perpetual21 does not warrant that:

  • The service will meet your specific requirements or expectations
  • The service will be uninterrupted, timely, secure, or error-free
  • Your family will successfully locate or recover your assets using information stored in your vault
  • The service will be available at the time of your death or any other specific moment

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Perpetual21 shall not be liable for any indirect, incidental, special, consequential, or punitive damages of any kind, including but not limited to loss of data, loss of assets, loss of profits, loss of goodwill, or damages arising from unauthorized access to your vault, failure of your family to recover assets, or any reliance on information stored in the service.
  • Perpetual21's total aggregate liability to you for any and all claims arising out of or relating to these terms or the service shall not exceed the total amount you paid to Perpetual21 in the twelve (12) months immediately preceding the event giving rise to the claim.
  • If you have not paid anything (e.g., you are on a free trial), Perpetual21's liability is limited to CHF 100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Perpetual21 and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of Family Vault; (b) your violation of these terms; (c) content you store in your vault; or (d) access granted by you to trusted persons or sealed contacts.

10. Dispute Resolution and Arbitration

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of Family Vault, the parties agree to first attempt resolution through good-faith negotiation by contacting hello@perpetual21.com.

If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration under the Swiss Rules of International Arbitration of the Swiss Arbitration Centre, with the seat of arbitration in Zurich, Switzerland. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding on both parties.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to bring or participate in any class action lawsuit against Perpetual21.

11. Termination

You may delete your account at any time from account settings or by contacting us. We reserve the right to suspend or permanently terminate accounts that violate these terms, engage in fraudulent activity, or pose a risk to other users or the service — with or without prior notice.

Upon termination, your right to use the service ceases immediately. Your data will be permanently deleted within 30 days of account closure.

12. Intellectual Property

All software, design, branding, and content comprising Family Vault is the intellectual property of Perpetual21. You may not copy, modify, distribute, or reverse-engineer any part of the service. You retain ownership of all content you enter into your vault.

13. Governing Law

These Terms of Service are governed exclusively by the laws of Switzerland, without regard to conflict of law principles. Subject to the arbitration clause above, any disputes not resolved by arbitration shall be subject to the exclusive jurisdiction of the ordinary courts of the Canton of Zurich, Switzerland.

14. Severability

If any provision of these terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. Changes to These Terms

We may update these terms from time to time. For material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the service after that date constitutes acceptance of the updated terms. If you do not agree with the changes, you must stop using the service and may request account deletion.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Perpetual21 regarding your use of Family Vault and supersede all prior agreements, representations, or understandings.
